The nominated person is no longer available

A hypothetical creditor company has a representative on a committee of inspection. That employee leaves, and the owner asks another staff member to attend the next meeting. Before treating the replacement as authorised to participate, contact the liquidator about the required process. An internal staffing decision does not establish what the committee's records and procedures now recognise.

Find the existing nomination

Locate the company's written nomination, appointment correspondence and recent committee communications. Identify who was nominated and in what capacity. Keep a general meeting proxy separate from committee representation documents. Ask the liquidator to explain any uncertainty rather than assuming a document used for one meeting or purpose authorises participation in every later decision.

Confirm the applicable change process

ASIC's liquidation guide states that a company creditor can nominate an individual in writing to represent it on the committee. Ask what is required in the present circumstances to replace the existing representative and how confirmation will be provided. This article does not prescribe a universal replacement form or say that forwarding a meeting invitation completes the change.

Arrange a proper handover

In the hypothetical example, the departing employee holds reports and notes about unresolved questions. Preserve company records through authorised access and pass relevant material to the confirmed replacement. Ask about confidentiality and information-handling requirements. Do not circulate the committee pack broadly across the business merely to ensure somebody has seen it before the next meeting.

05 / 06

Explain open decisions accurately

Give the replacement the latest reports, previous decisions and outstanding questions. Distinguish the company's own claim from the representative's committee responsibilities. Avoid presenting personal notes as official minutes or describing a suggested approach as an agreed committee direction. If the record is unclear, ask for clarification through the appropriate channel before relying on it.

Verify readiness before the meeting

Confirm participation arrangements, contact details and any documents still required. CRP can help organise the creditor's handover file. The objective is continuity of informed participation by a properly recognised representative, rather than an unprepared substitute joining through somebody else's invitation and assuming that attendance creates authority.
