The current search changes the recovery plan

You prepare to instruct a lawyer about a statutory demand, but a current company search shows the debtor is deregistered. Send the result to the lawyer before proceeding with the planned steps. A familiar trading name or an old invoice address does not establish the company's current legal status. Confirm the actual entity and date of the search.

Match the record to the contracting company

Compare the company number and name with the contract, invoices and account-opening material. Keep evidence of later name changes or other businesses using a similar brand. Do not assume a new company operating at the premises owes the original account. Ask the adviser to resolve the identity and status questions before choosing a recovery route.

Use the official explanation of the problem

ASIC explains that a deregistered company ceases to exist as a legal entity and that reinstatement is needed to bring proceedings against it. Obtain advice on the actual circumstances and available process. This article does not determine whether you qualify to seek reinstatement, what application is appropriate or whether the underlying debt can ultimately be recovered.

Assess the additional step commercially

Imagine a supplier has budgeted only for a demand and ordinary follow-up. The possible need for reinstatement changes the work, cost and timing to be assessed. Ask the lawyer what information is needed and what realistic recovery prospects justify further expenditure. Reinstating a company, if available, should not be treated as proof that it has funds to pay.

05 / 06

Keep other possible claims separate

Provide any guarantee or security documents for independent assessment, without assuming deregistration automatically makes a director personally liable. Do not redirect the company demand to an individual merely because the company record is inconvenient. Any alternative claim needs its own legal and factual basis, evidence and advice about applicable requirements.

Record the revised instruction

Retain the search, advice and supported commercial decision. If further work is authorised, track its actual status and costs rather than marking the original demand plan as completed. A current status check can reveal that the next task is fundamentally different from the one first proposed. Address that change openly before spending money on a recovery step built around an entity that is no longer registered.
