Draft for review
Prospective guarantee exit

Stopping future guarantee exposure is different from releasing existing debt

Distinguish prospective guarantee termination or limitation from release of accrued obligations under actual documents.

The word release may hide two different requests

You want to stop being a guarantor while the customer's account still has unpaid invoices. Ask the lawyer to separate the treatment of existing debt from any future credit. Do not assume a request to stop new exposure also removes obligations already incurred. Equally, do not accept a document as a complete release without understanding exactly what it addresses.

Identify the account at the proposed date

Imagine a former business owner asking a supplier to end a guarantee while orders remain open. Obtain the current account, unbilled deliveries and accepted orders for review. Explain the proposed effective date and what trading is expected afterwards. A zero balance on one statement may not tell the whole story if further amounts relate to earlier commitments.

03 / 06

Read the actual wording

business.gov.au recommends understanding contractual obligations and obtaining advice on uncertain terms. Ask the lawyer to explain the guarantee and any proposed variation, termination or release. Do not assume you can end it unilaterally by sending an email. The required process and effect depend on the documents and circumstances, including any arrangement the creditor agrees to make.

Make the creditor's response precise

Ask whether the proposal concerns new credit only, a specified account or all obligations within its stated scope. Identify any conditions and steps still required. In the former-owner example, a supplier may discuss restricting future orders without agreeing to release existing debt. Record that distinction instead of telling the family that the guarantee has entirely ended.

05 / 06

Coordinate the trading arrangements

With appropriate advice, confirm how new orders will be handled and which entity or person is responsible for them. Do not rely on an internal note that the guarantor has changed if the creditor has not completed the relevant arrangement. Keep any replacement guarantee or security proposal under independent review for the people affected.

06 / 06

Retain the completed outcome

Keep the final documents, effective dates and evidence of conditions satisfied. Ask the adviser to explain any remaining exposure in plain terms. A useful guarantee exit identifies what has stopped, what has been released and what remains unresolved. It should not depend on everyone using the same broad word while understanding a different legal result.
