The signature page is not the whole agreement
Your customer company has not paid and someone finds a director's signature in the credit file. Before treating it as a personal guarantee you can enforce, locate the complete document. The wording, parties, attachments and circumstances need legal assessment. A scan of the final page does not explain what the person signed or in what capacity.
Imagine a timber merchant with an account opened years ago through a former sales representative. The accounting system contains a signature page but no terms. Check authorised archives, attachments and the records held by the person who processed the application. Keep track of where each item was found and whether it is the executed version or a blank example.
business.gov.au recommends keeping records secure and protected from changes. Save each located copy intact. Do not attach today's standard terms to an old signature page and present the combination as the original agreement. If pages appear to be missing, say so. A lawyer needs to understand the uncertainty rather than receive a reconstructed document with no explanation.
Match the customer company, proposed guarantor and creditor named in the documents. Record later changes to the trading arrangement and provide relevant correspondence. Do not decide that similar names are interchangeable. In the timber merchant example, a change in the customer's company structure may be important to the legal review of the old paperwork.
Give the lawyer the current reconciled balance, invoices and any agreements affecting payment. Include objections or explanations received from the customer or proposed guarantor. Ask what further evidence is required and whether the available documents support any personal claim. Finding a signature is the beginning of that assessment, not its conclusion.
Once the current file is assembled, review how complete executed applications are stored and linked to customer accounts. Keep a reliable record of the terms actually accepted at the relevant time. Better retrieval can reduce uncertainty in future disputes, but it cannot retrospectively cure a missing or defective agreement in the existing account.
