Some goods may not be enough
A supplier holding an order offers to release part of it while the old account is discussed. Before accepting, ask the site team whether that particular combination will allow useful work to proceed. A partial delivery can generate freight and handling costs without removing the constraint that stopped the job. Keep legal advice about the hold separate from the practical release proposal.
Imagine an installer being offered most of the panels for a room while the matching fixing system remains withheld. List the components needed for a safe, complete stage of work. Check quantities and specifications with the appropriate technical people. Do not assume that receiving the largest or most expensive items allows the team to begin installation.
business.gov.au recommends clear descriptions and terms in business contracts. Ask the supplier to identify the items, quantities, release conditions and delivery arrangements in writing. Explain any proposed substitutions and obtain the necessary approvals. A statement that half the order will be released leaves too much uncertainty if the useful half depends on the actual sequence of work.
Compare one later delivery with the proposed split, including freight, unloading, storage and any repeated attendance. Use actual quotes where possible. Identify whether the partial delivery reduces a confirmed delay or merely moves materials into storage. In the panel example, the company should understand whether paying for an extra truck produces usable progress on site.
Record what remains withheld, what is still owed and what conditions are proposed for the balance. Obtain advice before agreeing to wording that affects the wider dispute. Do not describe a partial release as settlement of the old account unless that is actually agreed. Update the site programme using confirmed delivery information and clearly mark the remaining uncertainty.
Negotiate around an identified work stage where commercially sensible, supported by the operational and legal assessment. Confirm who will check the delivered items against the agreed list. A useful partial release is one that meets a defined purpose at an understood cost. Counting boxes or a percentage of the order is not enough to demonstrate that the job can move forward.
